The transaction included Virgin Media purchasing a perpetual exclusive license for Two Way’s ARK technology, a leading interactive TV platform, to be used in the UK and Ireland. In addition, Two Way and Virgin entered into a long-term content partnership whereby Two Way will continue to have a preferential relationship with Virgin for participation TV, enhanced TV, and gaming TV.

Viisage, of Billerica, Mass., embarked on a strategy of consolidating the biometric industry, in December when it sold a one-third stake in the company to L-1 Investment Partners, founded by Robert LaPenta, a longtime executive with defense electronics firm L-3 Communications Corp. Mr. LaPenta became chairman of Viisage, directing its acquisitions strategy.

The transaction enables Netkey to expand its presence in the rapidly growing digital signage industry with a market-leading solution, and become the first to offer best-in-class products for both self-service and digital signage. The transaction was structured as an asset sale and the transaction consideration included cash and stock component. The financial terms of the deal were not disclosed. The acquisition also provides DTS with key executive and technical talent. The transaction was structured as an asset sale in which DTS also acquired certain liabilities related to the business.
